1. OBJECTIVE AND SCOPE OF APPLICATION

1.1. This section provides information about conditions of use that visitors and customers must abide when browsing or shopping on our website www.ToothpickFlags.eu and the terms and conditions that govern the operations of selling and buying of products and services between Admiral Media SRL and its customers.

1.2. The use in any was of this website as simple browsing or registration as a user presupposes the acceptance of the current Terms and Conditions.

1.3. The current Terms and Conditions are applied to the transactions of selling and buying products and services between Admiral Media SRL and its Customers (hereinafter known as “Customer”).

1.4. They will be deemed as accepted by the Customer, for all intents and purposes, on the processing of any order by Admiral Media SRL.

1.5. The current Terms and Conditions exclude the application of any Terms and Conditions of sale belonging to the Customer or to third parties.

1.6. The selling and buying process between Admiral Media SRL and the Customer will be complemented, in each case, by the Specific Conditions which may be expressly agreed between the parties, and for all intents and purposes, any other conditions that have not been expressly accepted in writing, will have no value.

2. ORDERS

2.1. Once the registration process has been completed on our system, the Customer can place their order through the www.ToothpickFlags.eu website by following the established purchasing steps.
2.2. The making of a purchase by the Customer supposes their full acceptance of the prices, the description of the products for sale and the current Terms and Conditions. In order for the order to be valid and taken into account, the Customer must receive an express confirmation from Admiral Media SRL. All orders are subject to the availability of the items and services.
2.3. Our products are proposed within the limits of stock availability as indicated on the website. All errors or modifications of an exceptional nature are beyond our control and do not imply any responsibility on the part of Admiral Media SRL. Our products are sold through different channels(online or offline). Our website www.ToothpickFlags.eu is updated once a day with the new product stocks. Should a product be unavailable once the order has been made, we will inform you by email of any delay, partial delivery or cancellation of the product or order.
2.4. Product processing and preparation time is indicated next to its availability. Preparation time relates only to working days. The majority of products require a preparation time of 1-2 working days. Admiral Media SRL will attempt to dispatch orders within the time indicated but, on occasion, there may be delays(large number of orders, material shortage or unavailability) which are beyond our control, and these will not be eligible for any type of refund. Any preparation time which is longer than 1-2 working days is estimated, and Admiral Media SRL cannot guarantee estimated dispatch times will be met.

2.5. Admiral Media SRL reserves the right to modify the design of the products and/or the packaging of these as part of its ongoing improvement as well as to make them more marketable, and will always guarantee that product quality will be the same or improved.

3. PRICE

3.1. At the present time our company is not registered or legally bind to register for VAT in Romania. The retail prices do not include VAT or any other tax. Shipping charges invoiced to our company by the couriers contain VAT.

3.2. The prices included in Admiral Media SRL e-commerce website are subject to variations without prior notice, as are the technical specifications.

3.3. In the event that the Customer makes an order for products with the incorrect price, Admiral Media SRL will communicate the correct price and, in this event, its agreement to process the order as long as the Customer expressly confirms acceptance of the correct price.

3.4. Clients possessing an active customer account on our website can benefit from additional discounts(loyalty points, vouchers) depending on the value of prior orders, as indicated on the products page.

4. PAYMENT METHODS

4.1. The Customer can make payments through credit or debit card through our payment processor EuPlatesc and bank transfer.

4.2. The availability of these payment methods depends on the type of service or product that is being paid for and the geographical location of the customer.

4.3. The use of any of these payment methods is deemed as acceptance of the conditions association with them.

5. RETURNS (exchanges and refunds)

Our customer satisfaction is very important to us. Even though we didn't have any prior cases, if you changed your mind about your ordered products, please let us know.

5.1. Due to the nature of the products we sell and the hygiene reasons we do not offer refunds for our products, unless they are faulty.
5.2. We also do not offer refunds or returns for custom made products.
5.3. You have 10 days to request return or exchange an item with a valid receipt. If 10 days have gone by since your purchase, we cannot offer you a refund or exchange.
5.4. To be eligible for a refund or exchange, due to the nature of the goods, products must be returned in a sealed condition(no damaged/opened seals of the flag packs). That means that your ordered products must be in a unused state and the packs should be in the same condition that you received it(no damaged/opened seals of the flag packs).
5.5. To complete your product exchange or refund, we require a invoice or proof of purchase.
5.6. If you want to return your purchased products please first contact us at order@toothpickflags.eu. We will provide you with the return or exchange procedure. Please do not send your purchase back unless you are prior advised by us to do so.

6. REFUNDS (if applicable)

6.1. Once your received confirmation that you can return the items and after the received purchased products are inspected, you will receive an email with the approval or rejection status of your refund request.

6.2. Unless the products received are faulty(not damaged during shipping or any other shipping related issues), the returning shipping cost is not refunded and it will be deducted from the total refund sum.

7. PRODUCTS AND SAFETY
7.1. Toothpick flags are produced with the high regard to hygiene.

7.2. Our products are hand made and checked manually for compliance with our quality guidelines.

7.3. We are constantly sterilizing our production environments with ozone to ensure the high safety standards of our products against viruses, bacteria or any other contaminants that might appear on our working surfaces.

7.4. We also ensure that our products are cleaned contactless after the production process with Ozone so any viruses, bacteria or any other contaminants that might appear on the surface of our products are permanently destroyed.
7.5. Toothpicks used at our products are from eco-friendly and natural materials like wood or bamboo., sourced from local or European providers.
7.6. Due to the natural fiber of the wood or bamboo, toothpicks might present discolorations, dark spots or strains. This wood properties are not to be considered defects, no claims of faulty or inferior products will be taken into account.

8. SHIPPING AND DELIVERY

8.1. The shipping of goods will be made to the address indicated by the Customer at the time of purchase.

8.5. The timescales given are estimates and are not binding. Any delay in the delivery time does not give the Customer the right to claim any direct or indirect damages, reject the order or suspend compliance of any obligation, especially the payment.

8.6. Admiral Media SRL will not be responsible for the total or partial non-delivery, or the delay of its obligations to the Customer if this is caused by an unforeseen event or an act of God which affects Admiral Media SRL and their providers or shippers equally. These include strikes, other labour or industrial events, lack of, or impossibility of acquiring, products, etc. Admiral Media SRL can cancel and void any products in transit without giving rise to any compensation in favour of the Customer.
8.7.1 We are shipping our products only to the following European Union(UE) countries:
Austria, Belgium, Bulgaria, Croatia, Republic of Cyprus, Czech Republic, Denmark, Estonia, Finland, France, Germany, Greece, Hungary, Ireland, Italy, Latvia, Lithuania, Luxembourg, Malta, Netherlands, Poland, Portugal, Romania, Slovakia, Slovenia, Spain and Sweden.
8.7.2 We process within 1-2 business days as we receive an order based on the availability of the products.
8.7.3 Orders are not shipped or delivered on weekends or holidays, national days or any legally free days.
8.7.4 If we are experiencing a high volume of orders or out of stock products, shipping and production process may be delayed by a few days.
8.7.5 Please take into consideration that additional days in transit or shipping failure for delivery may occur especially during COVID-19 lock-downs, war or any other natural causes.
8.7.6 If there will be a significant delay or event prior or after the shipping of your order, we will contact you via email or telephone.
8.7.7 The default shipping carrier used is DHL Express Worlwide due to reliable services and fast shipping time.
8.7.8 The cost of the shipping is automatically calculated based on the destination, size and weight of the package and is reflected into the shopping cart.
8.7.9 The shipping times varies depending of the country of destination and the shipping method(by air or by road) usually as follows:
- Romanian Post: D + 5-15(where D is the day when the package is pickup by the post agent, 5-15 are the days that will take for the package to arrive to the destination)
DHL: - 1-3 days(for air shipping, usually the orders are shipped in 1 business day but for some countries the delivery time might go as far as 3 days)
- 2-6 days(for road shipping, 2-6 days varies from country to country and represents the minimum-maximum days for the package to arrive to the destination)

9. INVOICING AND RECEIPT

9.1. At the time of receipt, it is the Addressee’s responsibility to verify that the receipt of the goods corresponds with that on the order, that the information on the invoice is correct, and that the condition and packaging are intact. In the case of there being any visible marks which suggest that the goods may be damaged, it is the responsibility of the Addressee to make a note of this on the delivery receipt (whether digital or paper) with the courier agent, stating that the merchandise is damaged. If the merchandise is accepted without this being done, it will invalidate any later claims made by the Customer.

9.2. In the event that a situation should occur such as that mentioned in the above clause, an issue report (hereinafter known as the claim) will need to be initiated by the Addressee on the chosen courier website. The courier might request from the Addressee proof of the claims such as photos of the damaged package or products and it will provide solutions to the issue.

9.3. The Customer is responsible for opening the claim through the correct channel(courier) in relation to the type of issue or advice being made. At the same time the Customer can send us also a copy of the claim at the email address order@toothpickflags.eu. All claims received through incorrect channels or without the required documentation will be cancelled automatically.

9.4. Complaints will only be accepted from the Customer in the 3 calendar days following receipt of the package. If this time elapses without the complaint having been made, it will be deemed that the merchandise has been received by the Addressee in perfect condition and quantity.

9.5. Admiral Media SRL reserves the right to exchange or refund the Customer for the products that present manufacturing faults or defects, depending on which is most convenient.
9.6. Every order we ship the Customer will contain an invoice. The invoice provided is emitted in accordance with Romanian and European laws.
9.7. For the invoice to be emitted, Admiral Media SRL requires minimum legal information from Customer like VAT number, company name, legal company address. We also require that your VAT number to be valid when is checked into VIES platform. Without a VIES valid VAT number we cannot process and take into account your order!

10. PRODUCT QUALITY

10.1. As a general rule, Admiral Media SRL offers the Customer a 12 month product guarantee, which only covers any manufacturing defects the product may have.

10.2. The guarantee will become automatically invalid in the following cases:
10.3 When there is loss or falsification of any of the manufacturer’s Admiral Media SRL seal or control labels.
10.4. When the cause of the damage or fault is due to incorrect use, accidents, inappropriate use, knocks, breakages, accidents or breakdowns produced by other causes which are not attributable to normal conditions of use.
10.5. When used in unsuitable environments: dusty, moldy, exposed to direct sunlight, extreme temperatures (below 5ºC and above 40ºC), extremes of humidity (below 25% and above 75%).
10.6. CAUTION: Our Toothpick Flags are not meant to be used in the oven/grill or near any flame or heat source! This will most definitely burn or destroy the toothpick flags!
10.7. The final products might have slightly differences or properties when compared to the product images. All products have tolerances: color might appear different on final product during different color calibration of the monitors or displays available.
10.8. Product sizes might be different than the ones specified onto the description page but usually the difference is no more than 6-10%.
10.9. Product quantities specified on the website or onto the packages might be slightly different but usually the difference is no more than 6%.

11. LIMITS OF RESPONSIBILITY

11.1. Admiral Media SRL does not provide any guarantee, nor does it take responsibility for the unsuitability of products for the purposes claimed by the Customer.

11.2. Admiral Media SRL will not be responsible in any way or for any cost, charge or damage incurred as a consequence of any breach by the Customer of his obligations as stated in the current Terms and Conditions, nor the violation by the Customer of any legislation or regulations relating to consumer protection, health and public order.

11.3. Admiral Media SRL will not respond to any case from the Customer or third parties relating to direct or indirect losses or damages originating from, or connected to, the object of the present contract or the incorrect use of the product, including personal accidents, damages to goods other than the object of the contract or loss of benefits. Any commitment and obligation on the part of the Customer resulting from the existing guarantees between them and their Customers which exceed those mentioned previously, and which Admiral Media SRL have not expressly accepted in writing, will be at the sole expense of the Customer.

12. PRIVACY POLICY

12.1. Admiral Media SRL recognises the importance of protecting the privacy and rights of its Customers and guarantees that their data will be used correctly and will fully respect current legislation.

12.2. On registration onto the Admiral Media SRL website, the Customer expressly agrees to the processing of their personal data.
12.3. Admiral Media SRL uses the Customer personal data provided at the time of the account creation or at the time of making an order just for the invoicing purposes and shares total or partial data in relation with the couriers for the delivery procedures. No Customer data is provided to other companies or persons for marketing or other purposes except for the legal requests that came from the Romanian or European Authorities.

13. PROPERTY

13.1. This website is the property of Admiral Media SRL, involved partners, suppliers or collaborators, as are all the rights to its content, images, text, design and software. All the elements of this website, including and without limitation, its design and its content are protected by Intellectual Property legislation, Industrial Property and international treaties referring to the Rights of the Author.

13.2. Unless explicitly authorised by Admiral Media SRL or involved partners, suppliers or collaborators, you are forbidden to reproduce, transmit, or exploit the content of this website in any manner.

14. DIVISIBILITY

14.1. If any clause within the current conditions is, or becomes invalid, or appears to be unachievable according to the applicable law, the said clause would be invalidated, but only that specific clause, and this would not affect any other clause within the current conditions.

15. APPLICABLE LEGISLATION AND JURISDICTION

15.1. The current Terms and Conditions of Sale will be governed and interpreted according to current legislation in the territory of Romania.

15.2. In the case of a dispute, the contracting parties will be subject to the Courts and Tribunals of Bucharest, Romania and expressly waive any other jurisdiction that may correspond to them.

15.3. Nonetheless, the previous item will not impede Admiral Media SRL from exercising their right to resolve any litigation within another competent jurisdiction.
